Corporate Governance

The Company establishes standardized and clear corporate governance structure and forms scientific and effective assignment of responsibilities and balance mechanism meeting requirements of Company Law, Securities Law, Code of Corporate Governance for Listed Companies in China, Rules Governing the Listing of Stocks on Shanghai Stock Exchange, etc., and supervision requirements of China Securities Regulatory Committee, Shanghai Stock Exchange, etc. The shareholders meeting enjoys all rights specified by aws, regulations and Articles of Association, exerts decision-making rights to guideline for management, financing, investment, profit-sharing and other significant matters of the Company legally; Board of Directors is responsible for the shareholders meeting, and enjoys implementation rights to resolutions of the shareholders meeting and operating decision rights specified; Board of Supervisors shall be responsible for the shareholders meeting and inspect and supervise implementation, etc. of corporate financial staff, nternal control personnel and senior managers; and management layer is responsible for organizing and implementing resolutions of the shareholders meeting and Board of irectors and being in charge of daily operation and management of the Company. The actual governance of the Company shall comply with requirements in the Company Law and relevant regulations of CSRC.

  • Wang Zhangling Chairman of the Board of Directors

    Mr. Wang Zhangling: born in March 1968, senior engineer at professor level, master degree.
    From June, 2003 to April, 2007, he served as the manager of Engineering Construction Office of Tianjin Branch of CNOOC (China); from April 2007 to December 2010, he served as the general manager of specially authorized projects of CNOOC (China); from December 2010 to February 2016, he served as the deputy general manager and member of the Party Committee of CNOOC Infrastructure Management Co., Ltd.; from March 2016 to August 2019, he served as the secretary of the party committee and general manager of the Engineering Construction Center of Bohai Oil Administration of CNOOC; from August 2019 to November 2020, he served as deputy general manager of Procurement Department of CNOOC; from December 2020 to March 2023, he served as the director and president of COOEC. From April 2023 to now, he has been serving as the Chairman of COOEC.

    Peng Lei Director

    Mr. Peng Lei: born in January 1975, senior engineer. He obtained a bachelor’s degree in engineering from the Department of Petroleum Engineering, Jianghan Petroleum Institute in 1998 and a master’s degree in petroleum and natural gas engineering from China University of Petroleum (East China) in 2009. He joined China National Offshore Oil Corporation in July 1998 and once served as the manager of Tanggu Base of the Oilfield Chemical Division of China Oilfield Services Limited (COSL) and the deputy general manager, general manager, deputy Party secretary & general manager, and Party secretary & general manager of the COSL Oilfield Chemical Division. From March 2020 to March 2022: deputy general manager of CNOOC Energy Technology & Services Limited; from March 2022 to the present: deputy secretary of the Party Committee of Offshore Oil Engineering Co., Ltd (COOEC); from May 2022 to the present: a director of COOEC.

    Liu Yiyong Director

    Mr. Liu Yiyong, is born in November 1971, and is a Senior Engineer. He is a master student in Structural Mechanics of Ship and Marine Engineering of Harbin Engineering University. He joined CNOOC in July 1996 and served as an engineer, FPSO production supervisor, operating mechanism and equipment supervisor, and equipment manager of Shenzhen Branch, CNOOC (China) Co., Ltd. From May 2008 to December 2014, he served as the Manager of the Engineering and Construction Department of Shenzhen Branch, CNOOC (China) Co., Ltd. From December 2014 to April 2021, he served as the General Manager and Secretary of the Party Committee of the Deepwater Engineering Construction Center of Shenzhen Branch, CNOOC (China) Co., Ltd. From April 2021 to September 2022, he served as the Deputy General Manager of the Engineering and Construction Department of China National Offshore Oil Corporation. From September 2022 until now, he has been the Deputy General Manager of the Engineering Technology Department of China National Offshore Oil Corporation.From July 2023 to now, he has been serving as a director of COOEC.

    Xin Wei independent director

    Mr. Xin Wei, born in August 1963, graduated from Tongji University with a bachelor’s degree and major in engineering geology in July 1985. Professor-level senior engineer, registered civil (geotechnical) engineer. From July 1985 to June 1987: assistant engineer at CIGIS (CHINA) LIMTED; from June 1987 to May 1997: engineer at Shanghai Municipal Engineering Design Institute (SMEDI); from May 1997 to June 2003: deputy general manager and chief engineer at Shanghai Shizhen Geotechnical Engineering Co., Ltd; from June 2003 to November 2003: deputy chief engineer at Shanghai Geotechnical Investigation & Design Institute; from November 2003 to December 2011: deputy chief engineer at Shanghai Geotechnical Investigation & Design Institute Co., Ltd; from December 2011 to March 2018: vice president of Shanghai Geotechnical Investigation & Design Institute Co., Ltd; from March 2018 to the present: vice president of Shanghai Survey Design Research Institute (Group) Co., Ltd.     Zheng Zhongliang independent director

    Mr. Zheng Zhongliang, born in May 1972, PhD in accounting from Wuhan University, member of the Accounting Society of China, certified public accountant (China), chartered certified accountant, associate professor, research associate at Institute of Finance and Banking, China Academy of Social Sciences. From July 1994 to July 1995: accountant at Beijing No. 3 Machine Tool Plant; from July 1995 to September 1999: financial manager and financial director of Effijer International Engineering Co., Ltd; from September 1999 to July 2006: studying at Beijing Institute of Technology and Wuhan University; from July 2006 to August 2007: internal audit supervisor at CNOOC Limited; from August 2007 to August 2011: postdoctoral research fellow at Antai College of Economics & Management, Beijing Jiao Tong University; from August 2011 to August 2013: research associate at the Ministry of Commerce of the People’s Republic of China; from August 2013 to the present: associate professor at the Department of Accounting, College of Economics & Management, China Agricultural University, director of the Department of Accounting, director of the Master of Professional Accounting (MPAcc) program.     Strategy Committee Strategy Committee of Board of Directors

    The Strategy Committee consists of three directors, and the Chairman of Board is an ex-officio member and the convener.
    The members of the Strategy Committee of the 7th Board of Directors are Mr. Wang Zhangling and Mr. Liu Yiyong, with Mr. Wang Zhangling serving as the convener.

    Remuneration and Assessment Committee Remuneration and Assessment Committee of Board of Directors

    The Remuneration and Assessment Committee consists of three directors, including two independent ones.
    The members of the Remuneration and Assessment Committee of the 7th board of directors are Mr. Xing Wenxiang, Mr. Peng Lei and Mr. Xin Wei, with Mr. Xing Wenxiang serving as the convener.

    Nomination Committee Nomination Committee of Board of Directors

    The Nomination Committee shall be consisted of three directors, with independent directors making up the majority, and a convener shall be held by an independent director appointed by the Board of Directors.
    The 7th Nomination Committee of the Board of Directors is composed of Mr. Xin Wei, Mr. Wang Zhangling and Mr. Xing Wenxiang, with Mr. Xin Wei serving as the convener.

    Audit Committee Audit Committee of Board of Directors

    The Audit Committee consists of three directors, including two independent ones, and at least one independent director is a professional accountant. The committee is convened by an independent director.
    The members of the Audit Committee of the 7th Board of Directors are Mr. Zheng Zhongliang, Mr. Xin Wei and Mr. Xing Wenxiang, with Mr. Zheng Zhongliang serving as the convener.

  • Peng Wen Chairman of the Board of Supervisors

    Mr. Peng Wen: born in November 1969, senior accountant, graduated from the Department of Economics, Xiangtan Mining Institute, majoring in Accounting in July 1991. From September 2000 to July 2003, he studied at China University of Mining and Technology by correspondence majoring in Accounting, with a bachelor's degree in management; from February 2004 to January 2008, he studied at China University of Mining and Technology in his spare time majoring in Law and obtained a bachelor degree.
    From July 1991 to April 1999, Mr. Peng served successively as cashier and accountant of Financial Department of the geological prospecting team, accountant of Financial Department of Special Building Foundation Engineering Corporation, financial accountant of the Social Insurance Coordinating Office, and deputy chief and principal staff member of Financial Funds Division under the ChinaCoal (Group) LLC (hereinafter referred to as ChinaCoal). From April 1999 to April 2006, he successively served as Chief of the Financial Department and Chief Accountant and General Counsel of the Construction and Installation Engineering Company under the ChinaCoal; From April 2006 to September 2007, he served as Deputy General Manager and Chief Accountant of Hunan North Industries Group Co., Ltd.; From September 2007 to April 2013, he served as Chief Accountant of China United Coalbed Methane Co., Ltd.; From April 2013 to February 2016, he served as Chief Accountant of China United Coalbed Methane Co., Ltd., and Chief Accountant of Unconventional Oil and Gas Branch of CNOOC (China) Co., Ltd.; From February 2016 to February 2017, he served as Vice President of CNOOC International Financial Leasing Co., Ltd.; From February 2017 to June 2020, he served as Vice President of CNOOC International Financial Leasing Co., Ltd. and Deputy General Manager of CNOOC Investment Holdings Co., Ltd.; Since June 2020, he has served as a Full-time Supervisor of CNOOC; from Dec 2020 till now, he took an additional post of the Chairman of Board of Supervisors of COOEC.

    Che Yonggang Supervisor

    Mr. Che Yonggang: born in January 1963, senior engineer, graduated from Northeast Petroleum University, majoring in Petroleum Production and Processing Automation in August 1984, with a bachelor's degree.
    From July 1984 to December 2000, he worked in China Offshore Oil Northern Shipping Company. From July 2001 to November 2004, he served as the Manager of the Comprehensive Management Division of the Drilling Department of China Oilfield Services Limited; From November 2004 to March 2006, he served as the Chief Equipment Engineer of the Drilling Department of China Oilfield Services Limited; From March 2006 to November 2008, he served as the Leader of the Mexico Modular Drill Project Team of the Drilling Department of China Oilfield Services Limited; From November 2008 to June 2012, he served as the Deputy General Manager of the Drilling Department of China Oilfield Services Limited; From June 2012 to January 2015, he served as the Deputy General Manager of the Shipping Department of China Oilfield Services Limited; From January 2015 to January 2016, he served as Secretary of the Party Committee and Deputy General Manager of the Shipping Department of China Oilfield Services Limited; From January 2016 to June 2020, he served as Secretary of the Party Committee and General Manager of the Shipping Department of China Oilfield Services Limited; Since July 2020, he has served as a full-time supervisor of CNOOC; from Dec 2020 till now, he took an additional post of the Supervisor of COOEC.

    Mr. Li Tao, born in 1982, graduated from Harbin Engineering University with a master degree in Management Science and Engineering. He is also a senior economist.
    He acted as Inspector of the Inspection Company of COOEC from 2005.07 to 2005.12; Administrative Manager of the Design Company of COOEC from 2005.12 to 2008.12; Product Supervisor of the Quality Management Department of COOEC from 2008.12 to 2011.04; Quality Engineer and Deputy Manager of the Quality and Technology Department of the Design Company in COOEC from 2011.04 to 2012.01; HR Manager and General Manager Assistant of the Design Company of COOEC from 2012.01 to 2016.09; Deputy General Manager and Deputy Director of Party Committee Office in COOEC from 2016.09 to 2018.03; Deputy General Manager of Human Resources Department, Deputy Director of Party Committee Organization Department and Secretary of Party Committee in COOEC from 2018.03 to 2018.11 (as well as Deputy General Manager of the International Exchange Center from 2018.09 to 2019.10); Deputy General Manager of Human Resources Department, Director of the Party Committee Organization Department, and Secretary of the Party Committee in COOEC from 2018.11 to 2019.10 ( as well as Deputy Director of the Project Management Office from 2019.03 to now); General Manager of Human Resources Department, Director of Party Committee Organization Department and Secretary of Party Committee in COOEC from 2019.10 to now. From 2020.08 to now, he has taken an additional post of the Staff Supervisor of COOEC.

    Mr. Wang Zhangling: Born in March 1968, senior engineer at professor level, master degree.
    From June, 2003 to April, 2007, he served as the manager of Engineering Construction Office of Tianjin Branch of CNOOC (China);
    From April 2007 to December 2010, he served as the general manager of specially authorized projects of CNOOC (China);
    From December 2010 to February 2016, he served as the deputy general manager and member of the Party Committee of CNOOC Infrastructure Management Co., Ltd.;
    From March 2016 to August 2019, he served as the secretary of the party committee and general manager of the Engineering Construction Center of Bohai Oil Administration of CNOOC;
    From August 2019 to November 2020, he served as deputy general manager of Procurement Department of CNOOC;
    From December 2020 to March 2023, he served as the director and president of COOEC.
    From April 2023 to now, he has been serving as the Chairman of COOEC.

    Peng Lei Deputy Secretary of the Party Committee

    Mr. Peng Lei: born in January 1975, senior engineer. He obtained a bachelor’s degree in engineering from the Department of Petroleum Engineering, Jianghan Petroleum Institute in 1998 and a master’s degree in petroleum and natural gas engineering from China University of Petroleum (East China) in 2009.
    He joined China National Offshore Oil Corporation in July 1998 and once served as the manager of Tanggu Base of the Oilfield Chemical Division of China Oilfield Services Limited (COSL) and the deputy general manager, general manager, deputy Party secretary & general manager, and Party secretary & general manager of the COSL Oilfield Chemical Division.

    Li Peng CFO,Secretary of the Board of Directors,Members of Party (CPC) Committee

    Born in 1977, he finished his undergraduate course at School of Accounting, Capital University of Economics and Business in 1999, majoring in accounting computerization; finished his postgraduate course at College of Business Administration, Capital University of Economics and Business in 2002, majoring in business administration, with Master’s Degree and Master of Science in Management. As a chartered financial analyst (CFA), he became a member of the Association of Chartered Certified Accountants (ACCA) in 2005 and joined in the Hong Kong Institute of Certified Public Accountants (HKICPA) in 2009. Moreover, he is also a Chinese Certified Public Accountant.
    From July 2002 to December 2005, he served as the Senior Finance Manager of Beijing Capital Co., Ltd.
    From December 2005 to November 2007, he served as the Senior Executive for external disclosure of CNOOC Limited.

    Wang Huifeng Vice president,Deputy chief engineer, Member of the Party Committee

    Mr. Wang Huifeng: born in October 1977, Bachelor of Engineering in Heat Engine (turbine), Department of Power Engineering, Dalian University of Technology, Master of Engineering in Ship and Ocean Engineering, School of Civil Engineering, Tianjin University, senior engineer.
    Mr. Wang Huifeng started to work after graduating from university in July 1999. He participated in the engineering design work for Caofeidian project, North Pars Natural Gas Liquefaction project, Lufeng 7-2 oilfield project, ZAWTIKA project in Thailand, and other projects undertaken by COOEC and worked as the Wenchang 3/10-3 Gas Field Project Manager.
    From April 2013 to December 2016: Manager of Engineering Design and Project Management Department of COOEC Engineering Company.
    From December 2016 to September 2018: deputy general manager of COOEC Engineering Company.
    From September 2018 to February 2020: vice president of COOEC Engineering Company.
    From February 2020 to June 2020: deputy general manager of Engineering and Project Management Center, COOEC Management and Operations Center.

    Mr. Wang Dayong: Born in May 1976, received a Bachelor of Engineering degree in Mechanical Design and Manufacturing from the Department of Petroleum Machinery at China University of Petroleum and a Master of Engineering degree in Oil and Gas Storage and Transportation Engineering from the School of Mechanical and Storage Engineering at China University of Petroleum. He is a senior engineer.
    After graduating from university in July 1998, he started his career and served as an engineer in the Process Department of CNOOC Engineering Design Company and Manager of the Market Operation Department of the Design Company of Offshore Oil Engineering Co., Ltd. ("COOEC").
    From March 2013 to April 2014, he served as Acting Deputy General Manager of the Special Equipment Company of COOEC;
    From April 2014 to July 2018, Deputy General Manager of the Special Equipment Company of COOEC;
    From July 2018 to September 2018, Deputy General Manager of the Design Company of COOEC;
    From September 2018 to December 2018, Vice President of the Design Institute of COOEC;
    From December 2018 to February 2020, Vice President of the Design Institute and Deputy Director of the Marine Engineering Technology Center of COOEC;
